The dating app is set to leave the stock market after years of declining users and revenue, with two new co-CEOs preparing to take over from founder Whitney Wolfe Herd.

Bumble has agreed to be acquired by Ithaca Holdings in a $1.3 billion deal that would take the dating app company private after more than five years on the stock market. The agreement, announced October 13, 2026, comes after years of falling revenue, declining subscriber numbers and growing competition in the online dating industry.

Under the agreement, Bumble shareholders will receive $6.05 per share in cash, representing a 138% premium over the company’s closing stock price on October 9. The offer marks a sharp turnaround for investors who watched Bumble’s market value fall dramatically from its peak shortly after the company’s 2021 public offering.

The deal is a major change for a business that once represented a new approach to online dating. Founded by Whitney Wolfe Herd in 2014, Bumble built its reputation around giving women greater control over how conversations begin and encouraging more respectful interactions between users.

Bumble became a public company in February 2021, reaching a valuation of approximately $14 billion during its early trading. Since then, changing consumer habits, competition and difficulties retaining paying customers have steadily weakened its financial position.

By October 2026, the company’s market capitalization had fallen to approximately $582 million before reports of a possible acquisition sent its shares higher. The agreed purchase price remains far below Bumble’s valuation during its early days on Wall Street.

New Leadership Under Ithaca Holdings

The acquisition will bring major changes to Bumble’s executive leadership. Ithaca Holdings co-founders Ravi Gupta and John Hegeman will become co-CEOs when the transaction closes, replacing Wolfe Herd in the chief executive role.

Gupta previously served as chief operating officer at grocery delivery company Instacart and worked at venture capital firm Sequoia Capital. Hegeman previously served as chief revenue officer at Meta, the parent company of Facebook and Instagram.

The two executives bring experience in technology operations, digital advertising and business development. Their appointments mark the first time Bumble will have men serving as its chief executives, a notable shift for a company whose identity has long centered on women.

Wolfe Herd will not disappear from the business. Bumble said she plans to remain actively involved and work closely with the incoming leadership team.

In the company’s announcement, Wolfe Herd said she supports the transaction and believes Ithaca shares Bumble’s original mission. She described the partnership as an opportunity to continue developing a service focused on meaningful personal relationships.

The company’s independent board committee reviewed possible alternatives before recommending the acquisition. Bumble’s board approved the agreement unanimously, with Wolfe Herd excluding herself from the board’s deliberations and vote.

Affiliates of investment firm Blackstone and Wolfe Herd subsequently provided the shareholder approval required for the transaction. The acquisition remains subject to closing conditions, including applicable regulatory requirements.

Bumble Struggles With Falling Revenue and Users

Bumble’s financial difficulties help explain why the company agreed to leave the public market. Its latest quarterly results showed that attracting and retaining paying customers remains a major challenge.

For the second quarter ending June 30, 2026, Bumble reported $210.5 million in revenue, down 15.2% from $248.2 million during the same period in 2025.

The company also reported a net loss of $127.9 million. That figure included a $169.3 million impairment charge, which reflected a reduction in the recorded value of certain assets rather than an equivalent cash expense.

The number of paying users declined 16.4%, falling from approximately 3.8 million to 3.2 million over the same period.

Revenue from the Bumble dating app fell 14.7% to $171.7 million. Its Badoo app and other services recorded revenue of $38.8 million, down 17.1%.

These figures illustrate a problem affecting the broader dating app industry. Companies must persuade users to continue paying for subscriptions and premium features while also keeping their platforms appealing to people seeking relationships.

The challenge becomes particularly difficult when users grow frustrated with repetitive swiping, unwanted messages or interactions that do not lead to meaningful connections.

Online Dating Faces Changing Consumer Habits

Bumble entered the dating market with a distinctive feature that generally required women to initiate conversations in heterosexual matches. That approach helped separate the company from established competitors such as Tinder.

Over time, however, Bumble adjusted its original model to reduce the burden on women to make the first move. Its Opening Moves feature gave users additional ways to start conversations, reflecting efforts to make the platform more flexible.

The changes were designed to address concerns about dating app fatigue and encourage more interactions. However, they have not reversed the company’s decline in paying subscribers.

According to Reuters, younger consumers have increasingly shown interest in meeting potential partners through real-world activities rather than relying entirely on dating platforms. That shift has challenged companies whose business models depend on users returning frequently to their apps.

Competition has also intensified as Hinge, owned by Match Group, attracts people looking for more relationship-focused dating experiences.

Match Group operates several dating services, including Tinder and Hinge, giving it a broader selection of products and markets than Bumble. That diversification can help reduce its reliance on the performance of a single platform.

Bumble has attempted to respond through product improvements, changes to its matching technology and new ways to help users meet in person.

The company has also been developing artificial intelligence tools intended to improve recommendations and make conversations easier. These initiatives are part of a wider effort to improve the experience for users who have become dissatisfied with traditional dating apps.

Artificial Intelligence Could Shape Bumble’s Future

Ithaca Holdings has expressed interest in using advanced technology to improve established businesses. That strategy could influence how Bumble develops its matchmaking services after the acquisition.

AI-powered tools could potentially help users identify compatible partners, improve profile recommendations and reduce some of the repetitive work involved in online dating.

However, the success of those features is not guaranteed. Matchmaking technology must address users’ concerns about authenticity, safety and trust while delivering experiences that encourage people to remain active.

For Bumble, improved technology alone may not be enough to restore growth. The company must also persuade consumers that its service offers meaningful advantages over competing apps and opportunities to meet people offline.

Reuters Breakingviews noted that Bumble’s paying user base has declined by more than 25% since 2024. The analysis also identified weak revenue growth and ongoing competition as challenges that new ownership will need to address.

Moving into private ownership could give Bumble more flexibility to invest in new products without facing the same level of pressure from public shareholders over quarterly earnings.

Still, private ownership does not guarantee that the company will regain lost subscribers or achieve sustained revenue growth.

What Happens Next for Bumble?

The acquisition agreement follows a period of intense investor interest after reports of negotiations with Ithaca became public. Bumble shares rose sharply as traders responded to the possibility of a cash buyout at a substantial premium.

The $1.3 billion transaction reflects the agreed value of the acquisition, not a return to Bumble’s former stock market valuation. Investors will receive the stated cash consideration if the transaction is completed under its announced terms.

Bumble is expected to remain headquartered in Austin, Texas, with offices in London and New York City.

The company also plans to file its third-quarter financial report with the Securities and Exchange Commission by November 9. Because of the acquisition agreement, Bumble said it does not intend to issue a separate earnings release or hold its usual quarterly results conference call.

Once the transaction closes, Gupta and Hegeman will assume responsibility for leading the company, while Wolfe Herd will remain involved in shaping its future.

The immediate challenge will be stabilizing Bumble’s declining user base while developing products that can compete in a changing dating market. Whether the new ownership structure can deliver that recovery will depend on attracting users, improving engagement and turning Bumble’s technology investments into sustainable growth.
